These Terms of Service (“Terms”) govern your access to and use of the services provided by Metis, Inc. (“Metis,” “we,” “us”).

By accessing or using the Services, you agree to these Terms.

1. Services

Metis provides software and infrastructure for evaluating, monitoring, and post-training AI agents, including tools for observability, evaluation, and optimization (the “Services”).

2. Eligibility

You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or your organization.

3. Accounts

You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Ensuring information you provide is accurate

4. Acceptable Use

You agree not to:

Use the Services in violation of applicable laws
Reverse engineer or attempt to extract source code
Interfere with or disrupt the Services
Upload malicious code or content
Use the Services to build competing products

5. Customer Data

You retain all rights to Customer Data.
You grant Metis a limited license to process Customer Data solely to provide the Services and as described in applicable agreements.

6. Intellectual Property

Metis retains all rights to:

The Services
Software, models, infrastructure, and documentation
Aggregated and anonymized insights derived from service operation (excluding Customer Data)

No rights are granted except as expressly stated.

7. Confidentiality

Each party agrees to protect the other party’s confidential information and use it only to perform under these Terms.

8. Fees & Payment

Certain Services may require payment. Fees, billing terms, and refunds (if any) will be specified in applicable order forms or agreements.

9. Termination

We may suspend or terminate access if you violate these Terms.
Upon termination:

Your right to use the Services ends
Certain provisions (IP, confidentiality, disclaimers) survive

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
METIS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

METIS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
METIS’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO METIS IN THE 12 MONTHS PRECEDING THE CLAIM

12. Indemnification

You agree to indemnify and hold harmless Metis from claims arising out of your use of the Services or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms from time to time. Continued use after changes constitutes acceptance.
